Commercial Agreement & Scope of Services
These Terms and Conditions ("Agreement") govern all commercial contracts, production orders, proforma invoices, sampling requests, and custom garment manufacturing services provided by Udhayaa Textiles ("Manufacturer", "we", "us"), headquartered in Erode, Tamil Nadu, with manufacturing operations in Tiruppur, Tamil Nadu.
Any individual, corporate brand, wholesaler, institutional client, or retail entity ("Buyer", "Client", "Customer") placing a purchase order, countersigning a proforma invoice, or approving a pre-production sample (PPS) agrees to be unconditionally bound by these terms.
Any deviation or bespoke requirement must be recorded in an authorized bilateral manufacturing agreement executed by both parties prior to fabric cutting.
Minimum Order Quantities (MOQ)
Because Udhayaa Textiles operates industrial-scale knitting, dyeing, and automated assembly operations, commercial production runs adhere to defined minimum thresholds:
- check_circle Standard Garment MOQ: Starts at 500 units per style / colorway for core product lines (t-shirts, polo shirts, hoodies, casual wear, and uniforms).
- check_circle Custom Yarn & Reactive Mill Dyeing: Orders requiring custom yarn blends, specialized jacquard weaves, or custom Pantone dye lots may require higher thresholds (typically 800–1,000 units) determined by mill dye vat capacity.
- check_circle Size Ratio Flexibility: Buyers may distribute the MOQ across standard size breakdowns (e.g. S, M, L, XL, XXL) based on agreed commercial pack ratios (such as 1:2:2:1).
Tech Packs & Manufacturing Tolerances
The Buyer is responsible for submitting complete, accurate technical specification packs ("Tech Packs") including graded measurement charts, fabric composition preferences, stitch designations, Pantone TPX/TCX color codes, and vector graphic placement diagrams.
In textile wet-processing, organic cotton knitting, and garment assembly, slight mechanical and thermal variations occur naturally. Orders are manufactured in accordance with standard international textile industry tolerances:

* Variations falling within the above recognized tolerances do not constitute defects and shall not serve as grounds for rejection or price deductions.
Sampling & Pre-Production Approval
No bulk fabric cutting commences until the Buyer provides written, electronic, or physical sign-off on the final Pre-Production Sample (PPS). The approved PPS serves as the binding quality benchmark ("Golden Sample") against which final AQL inspections are evaluated.
Our standardized sampling protocol:
- Sample Invoicing: Development sample fees and international courier charges are invoiced prior to sampling dispatch. Upon confirmation of bulk orders meeting our MOQ, development sample fees are credited against the bulk invoice.
- Revisions: Minor styling revisions are accommodated between prototype stages. Substantive design alterations after PPS sign-off will impact production timelines and may incur resetting charges for screens or dies.
Pricing, Currency & Payment Milestones
All formal commercial quotations are provided in writing and remain valid for thirty (30) calendar days from issuance due to volatile market pricing in raw cotton yarns and synthetic fiber commodities.
Standard Commercial Payment Schedule:
- 50% Advance: Upon purchase order confirmation to trigger fabric procurement and dyeing.
- 50% Balance: Payable against final inspection sign-off prior to factory dispatch.
- Applicable GST (5% / 12%) billed additionally (GSTIN: 33ANGPU7147M1ZE).
- 40%–50% TT Deposit: Upon proforma invoice acceptance.
- Balance TT: Against scanned copy of the Clean On Board Ocean Bill of Lading (B/L) or Airway Bill (AWB).
- Irrevocable, Confirmed Letter of Credit (LC at sight) accepted for container volumes.
Production Lead Times & Incoterms
Standard bulk manufacturing lead times generally range between 30 to 90 days commencing from the date of: (a) receipt of the advance production deposit, and (b) written sign-off of the pre-production sample (PPS) and lab dips.

Quality Assurance & AQL Standards
Every production lot undergoes rigorous inline and end-of-line inspections spanning yarn defect checks, GSM verification, dimensional stability, color fastness to washing/rubbing, seam burst strength, and clean trimming.
Final inspections are audited strictly in compliance with the ISO 2859-1 (ANSI/ASQ Z1.4) Acceptable Quality Limit (AQL) Level II standards:
- Critical Defects: 0.0 (Zero tolerance for sharp objects, broken needles, or contamination).
- Major Defects: AQL 2.5 (Functional or noticeable surface flaws).
- Minor Defects: AQL 4.0 (Minor cosmetic variances not affecting garment utility).
Buyers are welcomed to deploy certified third-party inspection agencies (such as SGS, Intertek, Bureau Veritas, or QIMA) to our Tiruppur manufacturing premises prior to container loading.
Claims, Defect Reporting & Cancellation Policy
Because our apparel products are custom-manufactured to bespoke buyer specifications, dimensions, branding, and colorways, confirmed bulk orders are non-cancellable once fabric milling or cutting has commenced.
Defect Claim Protocol:
- Any formal claim regarding manufacturing non-conformity exceeding agreed AQL limits must be submitted in writing within ten (10) business days of cargo receipt at the destination facility.
- Claims must include photographic evidence, carton/bale reference numbers, and documented piece counts.
- Upon mutual verification of genuine production defects, Udhayaa Textiles will remedy the issue through prompt credit adjustment, replacement production, or negotiated concession.
Client Trademark & Intellectual Property Warranty
The Buyer represents and warrants that they are the lawful copyright and trademark owner (or authorized licensee) of all logos, brand insignias, graphics, typography, and embellishment designs provided to Udhayaa Textiles for printing, embroidery, or labeling.
The Buyer agrees to indemnify, defend, and hold harmless Udhayaa Textiles, its directors, and operational partners against any legal claims, liabilities, trademark infringement damages, or legal costs arising from manufacturing goods based on artwork provided by the Buyer.
Force Majeure & Supply Disruptions
Neither party shall be held commercially liable for delays or non-performance resulting from circumstances beyond reasonable operational control, including natural calamities, severe monsoons, state power grid failures, government embargoes, port strikes, international container shortages, or raw fiber export bans.
In such events, production delivery schedules shall be extended by a duration equivalent to the period of disruption.
Governing Law & Judicial Jurisdiction
This Agreement and all contracts entered into with Udhayaa Textiles shall be construed, interpreted, and enforced in accordance with the laws of the Republic of India.
The parties agree that any legal dispute, claim, or litigation arising out of or in connection with custom apparel production or supply contracts shall be subject to the exclusive jurisdiction of the competent courts in Erode and Tiruppur, Tamil Nadu, India.
